Terms of Service

1. Introduction

Welcome to NXT. These Terms of Service (the "Terms") govern your access to and use of the services provided under the NXT brand by VELONXT INFORMATION TECHNOLOGY L.L.C S.O.C ("VELONXT", "NXT", "we", "us" or "our").

NXT provides technology and payment services that may include NXT Pay, NXT Send, international payment services, remittance services, merchant services, business payment services, agent services, websites, applications, APIs, integrations and other NXT-branded products or services that we may make available from time to time (collectively, the "NXT Services" or "Services").

By registering for, accessing or using any NXT Service, you agree to these Terms. If you do not agree to these Terms, you must not access or use the Services.

Additional terms, service-specific conditions, partner terms or local requirements may apply to particular Services or jurisdictions. Where those additional terms apply, they form part of your agreement with us.

2. Definitions

In these Terms:

• "NXT", "we", "us" or "our" means VELONXT INFORMATION TECHNOLOGY L.L.C S.O.C and, where applicable, its authorised affiliates or service providers involved in delivering the Services.
• "User", "you" or "your" means any person or business accessing or using an NXT Service.
• "NXT Pay" means the NXT service that enables supported payments to merchants or businesses.
• "NXT Send" means the NXT service that enables supported transfers or remittances to eligible recipients.
• "Merchant" means a business that accepts or receives payments through an NXT-supported payment method or integration.
• "Recipient" means a person or business designated to receive funds through a supported NXT Service.
• "Transaction" means a payment, transfer, remittance, funding transaction, withdrawal, refund or other movement of funds initiated or facilitated through an NXT Service.
• "Payment Partner" means a bank, payment service provider, mobile money operator, remittance provider, settlement provider, agent or other third party used in connection with an NXT Service.

3. Eligibility

To use NXT, you must:

• be at least 18 years old, unless applicable law and the relevant Service expressly permit otherwise;
• have a valid mobile number or other supported account identifier;
• provide accurate, complete and current information when requested;
• have legal capacity to enter into these Terms; and
• comply with the laws and regulations applicable to you and your use of the Services.

We may require identity verification, business verification or other due-diligence information at any time. We may restrict or suspend access where required information is not provided or cannot be verified.

4. Account Registration & Login

• You must register using accurate information and create or use the authentication methods made available by NXT.
• You are responsible for keeping your password, PIN, verification codes and other login credentials confidential.
• You must not allow another person to use your account unless expressly permitted by NXT.
• Activity carried out through your account may be treated as authorised by you unless you promptly report suspected unauthorised access.
• You must notify NXT Support immediately if you believe your account, device or credentials have been lost, stolen or compromised.

5. Funding Transactions

Available funding methods depend on your country, the relevant NXT Service and the Payment Partners available to support the transaction.

• Amounts, currencies, exchange rates and applicable fees will be displayed or otherwise communicated where practicable before you confirm a transaction.
• A transaction is treated as completed only once the relevant Payment Partner and NXT systems confirm it.
• Processing times may vary depending on the payment method, country, banking system, mobile money network, compliance checks and Payment Partner.
• NXT or a Payment Partner may apply fees, limits or additional verification requirements.

6. Withdrawals

Where withdrawals are supported, they may be made to eligible bank accounts, mobile money accounts or other supported destinations.

• You are responsible for providing accurate recipient, bank, mobile money or account details.
• Once a withdrawal has been submitted for processing, it may not be possible to cancel, reverse or amend it.
• We are not responsible for loss or delay resulting from incorrect information supplied by you, except to the extent required by applicable law.
• A withdrawal may be delayed, rejected or returned where required by a Payment Partner, compliance review, technical issue or applicable law.

Important: Always verify all destination details before confirming a withdrawal.

7. NXT Pay and Merchant Payments

NXT Pay and other NXT Services may allow you to make supported payments to participating merchants or businesses, including international transactions where available.

• You must verify the merchant, destination details, currency and amount before confirming a payment.
• Available payment methods and processing routes vary by country and merchant.
• Once a payment has been submitted for processing, cancellation or reversal may not be possible.
• Refunds are subject to the merchant's policies, applicable law, Payment Partner rules and the status of the transaction.
• NXT may require additional information or verification before processing or completing a merchant payment.

NXT is not responsible for the quality, delivery, legality or suitability of goods or services supplied by independent merchants. Any dispute concerning goods or services should normally be raised with the merchant first, without limiting rights you may have under applicable law.

8. NXT Send

NXT Send and other supported NXT Services may allow you to send funds or arrange a transfer or remittance to an eligible recipient.

• You are responsible for selecting the correct recipient and entering accurate recipient details.
• Transfer availability, currencies, limits, exchange rates, processing times and delivery methods vary by country and Payment Partner.
• Recipients may be required to provide identification or other information before receiving funds.
• Once a transfer has entered processing, cancellation or reversal may not be possible.
• Where a transfer is rejected or returned, any refund may be subject to applicable fees, exchange-rate movements, Payment Partner rules and legal requirements.

Important: Check the recipient and transaction details carefully before confirming any NXT Send transaction.

9. Invite a Friend and Contact Features

NXT may allow you to invite contacts or share information about NXT using messaging applications or other communication methods. By using these features, you confirm that you have the right or permission required to contact the relevant person and that you will use the feature lawfully and responsibly.

10. Fees, Charges & Exchange Rates

• NXT may charge fees for certain Services, including funding, withdrawals, transfers, remittances, merchant payments, currency conversion or other services.
• Where practicable, NXT fees will be shown or communicated before you confirm the transaction.
• Banks, mobile money operators and other Payment Partners may impose their own fees or charges.
• Where currency conversion is involved, the applicable exchange rate may include a margin or spread disclosed as part of the transaction flow where required.
• Fees and exchange rates may vary by country, currency, payment method, Service, amount and Payment Partner.

11. Transaction Processing, Cancellation & Irreversibility

Some NXT transactions cannot be cancelled, changed or refunded after confirmation or once processing has started. This may include merchant payments, withdrawals and transfers.

You are responsible for reviewing all transaction information before confirming it. Where cancellation or reversal is technically or legally possible, additional charges, partner rules or time limits may apply.

NXT may cancel, reject, delay, hold or reverse a transaction where permitted or required by applicable law, a Payment Partner, security controls, fraud prevention procedures, compliance obligations or technical requirements.

12. Security

• NXT uses technical and organisational measures designed to protect accounts, systems and transactions.
• You must keep your device, password, PIN, verification codes and other credentials secure.
• You must not share authentication credentials or allow another person to impersonate you.
• You should use device security such as a PIN, password or biometric lock where available.
• If your device or account is lost, stolen or compromised, contact NXT Support immediately.

NXT may require additional authentication, temporarily restrict access or take other protective measures where we detect a security risk.

13. Prohibited Use

You may not use NXT for unlawful, fraudulent, abusive or prohibited purposes, including:

• fraud, scams, deception or unauthorised transactions;
• money laundering, terrorist financing or other financial crime;
• illegal gambling, illegal trade or transactions prohibited by applicable law;
• sanctions evasion or attempts to circumvent legal or regulatory restrictions;
• transactions involving prohibited or restricted goods or services;
• impersonation, identity misuse or use of false information;
• abusing promotions, referral programmes or transaction incentives;
• interfering with, exploiting or attempting to compromise the security or operation of the NXT platform; or
• using NXT in a manner that could expose NXT, its users or Payment Partners to legal, regulatory, financial or reputational risk.

We may reject transactions, restrict Services, suspend or close accounts, or report activity to competent authorities where permitted or required by law.

14. Support & Communications

NXT may provide support through email, in-app messaging, WhatsApp or other authorised channels. We may require transaction references, proof of payment, identification or other supporting information when investigating an issue.

You agree that we may send operational, security, transaction, legal and account-related communications electronically. Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

15. Limits, Holds, Reviews & Suspensions

We may apply transaction limits, account restrictions, temporary holds or partial or full suspensions where reasonably necessary to operate the Services, manage risk or comply with law.

These measures may be applied where, for example:

• we detect unusual or suspicious activity;
• we cannot verify your identity, business or transaction information;
• a Payment Partner requires a restriction or review;
• we reasonably believe your account has been compromised;
• we reasonably believe you have breached these Terms; or
• we are required to do so by law, regulation, court order or a competent authority.

We may request additional information before lifting a restriction.

16. Liability

To the maximum extent permitted by applicable law, VELONXT, NXT and their affiliates, officers, employees and service providers will not be liable for losses arising from:

• incorrect recipient, bank, mobile money, merchant or account details supplied by you;
• delays, outages, failures or restrictions caused by banks, mobile money operators, payment processors, telecommunications providers or other independent third parties;
• currency conversion or exchange-rate changes occurring after a transaction is initiated;
• your failure to protect your device, authentication credentials or account;
• transactions you authorised or allowed another person to authorise using your account;
• events beyond our reasonable control; or
• indirect, incidental, special or consequential loss, except where such exclusion is prohibited by law.

NXT Services are provided on an "as is" and "as available" basis to the extent permitted by law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

17. Third-Party Services

NXT relies on and may integrate with independent banks, payment service providers, mobile money operators, remittance providers, merchants, agents and technology providers. These third parties may have their own terms, fees, processing times, eligibility requirements and privacy practices.

NXT is not responsible for an independent third party's acts or omissions except to the extent responsibility cannot be excluded under applicable law.

18. Closing Your Account

• You may request to close your NXT account, subject to pending transactions, disputes, investigations, legal obligations and other applicable restrictions.
• Any funds or unsettled transactions associated with your account must be resolved in accordance with the applicable Service rules before closure can be completed.
• We may retain certain account, identification, compliance and transaction records after closure where required or permitted by law.

We may also close or restrict your account where permitted by these Terms or applicable law.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, technology, business operations, partners, laws or regulatory requirements.

Where changes are material, we may provide notice through our website, application, email, account notification or another appropriate channel. The updated Terms will take effect on the date stated in the revised version or as otherwise notified.

Your continued use of the NXT Services after the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of the United Arab Emirates and, where applicable, the laws and regulations in force in the Emirate of Dubai, without prejudice to any mandatory consumer or other legal protections that may apply in your jurisdiction.

To the extent permitted by applicable law, disputes arising out of or in connection with these Terms or the NXT Services will be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates.

21. Scope of the NXT Brand

References to "NXT" or the "NXT Services" in these Terms include, where applicable, NXT Pay, NXT Send, NXT websites, NXT applications, NXT APIs, NXT merchant services, NXT business services, NXT agent services, NXT payment services, NXT remittance services and any other product or service offered by VELONXT INFORMATION TECHNOLOGY L.L.C S.O.C under the NXT name or brand.

A particular Service may be subject to additional service-specific, partner-specific or jurisdiction-specific terms.
